By accessing or using Clipmax ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Please read carefully.

01Definitions
"Clipmax", "we", "us", or "our" refers to the operator of the Clipmax service, a sole proprietorship based in the United States. "User", "you", or "your" refers to the individual or entity subscribing to or using the Service. "Service" refers to the Clipmax Discord bot, web admin panel, and any associated tools, dashboards, or APIs. "Subscription" refers to the recurring paid access to a specific Clipmax pricing tier.
02Eligibility & Account
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using Clipmax, you represent that you meet these requirements and that all information you provide is accurate.
You are responsible for maintaining the security of your account credentials, including Discord server access and admin panel logins. You agree to notify us immediately of any unauthorized access.
03Subscription & Payment
Clipmax offers three subscription tiers, billed monthly in advance:
- Tier 1 — Starter: $300 USD per month. Includes TikTok and YouTube view tracking.
- Tier 2 — Pro: $500 USD per month. Includes Instagram, TikTok, and YouTube view tracking.
- Tier 3 — Enterprise: $750 USD per month. Includes all Pro features plus a custom branded dashboard hosted on a domain of your choice, and dedicated developer support.
Subscriptions renew automatically each month until cancelled. You may cancel at any time, with cancellation taking effect at the end of the current billing period. Continued use of the Service after a payment failure may result in suspension until payment is resolved.
All fees are exclusive of applicable taxes, which you are responsible for paying.
04No Refund Policy
All sales are final. Clipmax does not offer refunds, prorated or otherwise, for any subscription fees already paid. This includes, but is not limited to: unused portions of a billing cycle, dissatisfaction with the Service, third-party platform changes that affect tracking accuracy, or voluntary cancellation mid-cycle.
You acknowledge and accept that by initiating a subscription, you waive any right to request a refund. You may cancel future renewals at any time to prevent additional charges.
05Acceptable Use
You agree not to use the Service to:
- Track, analyze, or pay out on content that violates the terms of service of TikTok, Instagram, YouTube, or any other third-party platform.
- Attempt to manipulate, inflate, or fraudulently misrepresent view counts or engagement metrics.
- Reverse engineer, decompile, scrape, or otherwise attempt to extract the source code or proprietary logic of the Service.
- Resell, sublicense, or redistribute access to the Service without our written permission. The Tier 3 branded dashboard does not constitute a reseller license.
- Use the Service to harass, defraud, or harm creators, clippers, or any third party.
- Upload, submit, or process content that is illegal, infringing, defamatory, or otherwise harmful.
We reserve the right to suspend or terminate accounts engaged in any of the above without notice or refund.
06View Tracking & Third-Party Platforms
Clipmax retrieves publicly available view-count data from TikTok, Instagram, and YouTube. We do not control these platforms, and their APIs, rate limits, terms, and data availability may change at any time without notice.
You acknowledge that:
- View counts reported by Clipmax are estimates derived from third-party data and may not match platform-native figures exactly.
- Our anti-bot detection systems are designed to flag suspicious activity, but no fraud detection system is perfect. Clipmax does not guarantee 100% accuracy.
- Service interruptions caused by third-party platform changes are outside our control and do not entitle you to a refund or credit.
- You are solely responsible for your own compliance with the terms of service of any third-party platform, including any creator or clipper relationships you maintain there.
07Intellectual Property
All rights, title, and interest in and to the Service — including the Discord bot, admin panel, source code, design, branding, and documentation — are and remain the exclusive property of Clipmax. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the active subscription period.
You retain ownership of any data you submit to the Service (such as campaign configurations, creator lists, and submitted clip links). You grant us a limited license to process this data solely for the purpose of providing the Service.
08Service Availability
We aim for high uptime but do not guarantee uninterrupted access. The Service is provided on an "as available" basis. We may perform scheduled maintenance, deploy updates, or experience outages caused by third parties, infrastructure providers, or force majeure events.
Tier 3 Enterprise subscribers receive SLA-backed availability commitments as defined in their individual onboarding agreement.
09Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPMAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLIPMAX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10Indemnification
You agree to defend, indemnify, and hold harmless Clipmax and its operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including but not limited to platform terms of service; or (d) any payouts you make to creators or clippers based on data provided by the Service.
11Termination
You may terminate your subscription at any time by cancelling future renewals through your account or by contacting us. We may suspend or terminate your access immediately, without notice or refund, if you breach these Terms, engage in fraudulent activity, or use the Service in a manner that exposes us to legal or reputational risk.
Upon termination, your access to the Discord bot and admin panel will cease. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.
12Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, your sole remedy is to cancel your subscription.
13Governing Law
These Terms are governed by the laws of the United States and the state in which the Clipmax operator resides, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in that state, and you consent to the jurisdiction of those courts.
